Terms of use
The agreement between you and Clementine, in plain English. If something here is unclear, that is our fault: ask.
The short version
- Clementine is a tool for keeping track of your own money. It is not a bank, a financial adviser or a tax agent.
- Tax and GST figures are estimates from what you enter. Check them before you rely on them.
- Free is free. Paid plans renew until you cancel, and cancelling takes two clicks.
- Your records are yours. You can export them at any time, on any plan.
- Nothing here takes away your rights under the Australian Consumer Law.
1. About these terms
These terms are an agreement between you and the business that makes Clementine (“Clementine”, “we”, “us”). Its registered name and ABN will be printed here before sign-ups open. They apply when you create an account or use the app, and they sit alongside the privacy policy.
You need to be 18 or over, and able to enter into a contract, to have an account.
2. What Clementine is, and is not
Clementine is software for recording, sorting and planning household money and sole-trader money: spending, bills, savings goals, invoices and tax records. What each plan includes, and what is still being built, is on the pricing page.
- It does not hold or move money. When Clementine suggests a transfer, such as setting tax aside, you make it in your own bank.
- It does not give financial advice. It shows you your own figures. It does not recommend financial products and holds no financial services licence.
- It does not lodge anything. A BAS worksheet or a tax summary is for you to check and then lodge yourself, or through your agent.
Tax, GST and BAS figures
Clementine is not a registered tax agent or BAS agent. Figures shown are estimates based on the information you enter. If you need tax or BAS advice you can rely on to meet your obligations, speak to a registered tax or BAS agent.
You decide how each thing is treated: whether a cost is business or private, which method you use, whether you are registered for GST. Clementine may show the general rule beside a choice. It does not tell you which treatment is right for you.
Suggestions made by AI
If you turn AI sorting on, categories are suggested by an AI model and can be wrong. They are suggestions for you to accept or change, not statements of fact.
3. Your account
- An account is for one person. Keep your password to yourself, and tell us if you think someone else has used your account.
- You are responsible for what you enter, including information about other people such as your clients.
- Use Clementine for your own money and your own business. Do not resell it, try to break it, or use it to break the law.
4. Plans and payment
Free and the trial
A new account starts with 30 days of Sole Trader at no charge. No card is asked for. If you have not chosen a paid plan when the trial ends, your account moves to Free. Free costs nothing and has no time limit.
Paid plans
Plus is A$9.99 a month or A$99 a year. Sole Trader is A$19.99 a month or A$199 a year. Prices are in Australian dollars and are the whole amount you pay, including any GST.
- Payment is taken in advance through Stripe, our payment provider, for each month or year.
- A paid plan renews at the end of each period, at the price then current for you, until you cancel.
- You can change plan, or move between monthly and yearly, at any time. You are shown what the change costs or credits before you confirm it.
- If a payment fails, you keep your plan for up to 16 days while the card is retried and we tell you. If it still has not been paid, your account moves to Free. Nothing is deleted.
Price changes
If we change the price of a plan you are paying for, we will tell you by email at least 30 days before your next renewal at the new price, and you can cancel before it applies. This does not apply to founding prices, which do not change (section 5).
Cancelling
You can cancel at any time from your account page or in the app: choose Cancel plan, then confirm. You keep the plan until the end of the period you have paid for, and you are shown that date. Then your account moves to Free. You are not charged again.
Refunds
Because you can try everything for 30 days without paying, and cancel at any time, we do not ordinarily refund a period that has already started. We will always give a refund where the Australian Consumer Law entitles you to one (section 10), and if you were charged by mistake, write to us and we will put it right.
5. Founding members
A founding member is someone whose account we have marked as founding, having joined during the founding period. For a founding member:
- the yearly price of Plus is A$59 and the yearly price of Sole Trader is A$129, for as long as they keep their Clementine account;
- those prices do not rise when our standard prices rise, and they are not an introductory rate that ends;
- they belong to the account, not to one subscription: a founding member who changes plan, or cancels and later subscribes again on the same account, pays the founding price of the plan they choose;
- there is no founding monthly price. A founding member who pays by the month pays the standard monthly price.
We will not take founding status away from an account except at the account holder’s request, or where the account was obtained by fraud. This section cannot be changed to a founding member’s disadvantage.
6. Services you connect
You can connect a bank feed (through PocketSmith today), Gmail and an AI model (both from Google). You deal with those companies under their own terms, and some of them charge for their own plans.
- Bank information can arrive late, be missing or be wrong at its source. Check anything important against your bank.
- A connection can stop working for reasons outside our control. We will show you when information is stale.
- You can disconnect any of them at any time.
7. Getting paid through Clementine
Invoices you send are between you and your client. If you add a pay link to an invoice when that feature is available, your client pays through Stripe, you are the seller, and Stripe’s fees are taken from the payment before it reaches you. Clementine adds no fee of its own.
8. Your records
- What you put into Clementine is yours. You give us permission to store and process it only so the app can work for you, as the privacy policy describes.
- You can download all of it at any time, on any plan, including after a paid plan has ended.
- You can ask us to delete your account and everything under it.
You are responsible for keeping the records the law requires you to keep. An export is the simplest way to hold your own copy.
9. Changes, and if Clementine ever closes
We add to Clementine and change it. If we remove something you are paying for, or change it in a way that makes the plan materially worse for you, we will tell you beforehand and you can cancel and be refunded for the time you have paid for and not used.
We do not promise that Clementine will never be unavailable, but we work to keep it running and to fix faults quickly.
If we ever decide to close Clementine, we will tell every account holder at least 30 days before, keep the export working for that time, and refund any time you have paid for and not used.
10. Your rights under the Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including that they will be provided with due care and skill, be fit for the purpose we say they are for, and be supplied within a reasonable time.
If there is a major failure with the service, you are entitled to cancel and to a refund for the part you have not used, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If a failure is not a major failure, you are entitled to have it put right in a reasonable time and, if that is not done, to cancel and obtain a refund for the unused part.
Nothing in these terms excludes, restricts or changes those rights.
11. What we are and are not responsible for
Subject to section 10, and only as far as the law allows:
- we are not responsible for loss that comes from relying on an estimate or a suggestion without checking it, from information that was wrong or late when it reached us from a bank, a bank-feed provider or another service you connected, or from something outside our reasonable control;
- we are not responsible for indirect loss, such as lost profit or a penalty charged by someone else;
- where we are allowed to limit what we owe you, it is limited to supplying the service again or refunding what you paid for the period in which the problem happened.
12. Ending the agreement
You can stop using Clementine at any time, cancel a paid plan as section 4 describes, and ask for your account to be deleted.
We may suspend or close an account that is used to break the law, to attack the service or to harm other people. Unless the law or the urgency of the harm prevents it, we will tell you first and give you the chance to export your records.
13. Changes to these terms
If we change these terms in a way that matters, we will email account holders at least 30 days before the change takes effect. If you do not agree, you can cancel before then and be refunded for time you have paid for and not used. The date at the top shows when the terms were last changed.
14. Which law applies
These terms are governed by the laws of Australia and of the state in which Clementine’s business is registered, which will be named here before sign-ups open. That does not take away any protection you have under the law where you live.
